Why are the General Terms and Conditions being amended?   

As with any organisation, it is important that the General Terms and Conditions change with developments at Portbase and developments in laws and regulations.   

For example, Portbase’s brand strategy has changed and Portbase has integrated the MyData General Terms and Conditions into Portbase’s General Terms and Conditions. Portbase’s position and role in the maritime sector and associated interests and risks have increased.   

We want to continue to provide the requested services for the community as well and clearly as possible. Taking into account the EU legislation in force, such as the Digital Services Act, we are implementing these changes.    

From when are the amended or new General Terms and Conditions effective?  

As of 15 April 2025, the new General Terms and Conditions are in force. 

What are the main changes?   

The main changes are:  

1. We have merged our MyData Terms and Conditions with our General Delivery Terms and Conditions, so that one set of general terms and conditions will apply to all our services. This means that the current General Conditions MyData will expire.      

2. The title has been changed to General Conditions and we have updated definitions and provisions to reflect our Community Solutions and Data Services.    

3. Additional provisions have been added that respond to the new EU legislation, the Digital Services Act, such as clear guidelines around data processing and reporting unlawful content.     

4. We have supplemented the liability provision so that it is clearer what you can or cannot sue us for. For instance, Portbase is not a party if you want to purchase a data service from a third-party provider. We have also included an indemnity provision to exclude liability for risks arising from agreements between parties in the logistics chain.  

5. We have reduced the notice period for our services to one month.  

What do the changes mean for me as a Portbase client?  

As of 15 April, as a client you will only have to deal with the new General Terms and Conditions instead of two sets of conditions, because the General Delivery Conditions and the MyData General Conditions have been integrated. You can see the integration in certain definitions and terminology, because the new General Terms and Conditions deal with services provided by Portbase through its Port Community System as on data services provided by Portbase and other providers.  

With the enactment of the Digital Services Act, a new notice & takedown provision has been included that regulates more regulation of information and the prevention of unlawful, illegal or otherwise harmful content through the services by third parties. This also includes a complaint and objection procedure if you have complaints or concerns about illegal content and offensive information. This means you can take your own responsibility for this and your rights and interests can be better safeguarded. 

The notice period for future changes to the General Terms and Conditions and future rate changes is now the same. As a customer, you will be informed at least two months in advance.   

We have supplemented the liability provision so that it is clearer what you can and cannot claim against us.  For instance, Portbase is not a party to the agreements between you if you purchase a data service from a third-party provider.   

We have also included an indemnity provision to exclude liability for risks arising from agreements between parties in the logistics chain.   

The notice period if you want to terminate a service or your account with Portbase has been shortened from three months to one month. The same notice period applies to Portbase if we would like to terminate a service.  

Can I lose my connection to (Port Community System of) Portbase because of the changes to the General Terms and Conditions?   

No, unless you yourself choose to terminate your agreement with Portbase. Or if you object to the changes and cannot or do not wish to agree to these new General Terms and Conditions and wish to terminate your agreement with Portbase for that reason.
